How is it NOT a penalty?

Even if the "clear and obvious" bar isn't met for the penalty (which would imply the ref saw the foul but decided not to give it), why is the yellow not rescinded?

No clear and obvious error, but if a linesman misses an offside by 0.325mm we'll rectify that.

Because he didn't complain and protest his innocence and because they didn't want to make their fellow professional look a muppett.
 
Watching without the crowd noise you could hear Holding comment to ref "How could that knock him over he's built like a brick **** house" as he was getting booked for a foul on Traoré.
